EasyCoda products and services are owned and operated by Beijing Yueyun Technology Co., Ltd. (hereinafter referred to as "EasyCoda", "SheenCloud", or "we"). These Terms of Service (“Terms”) govern your use of easycoda.com, and other products and services that we may offer for individuals, along with any associated apps, software, and websites (together, our “Services”). These Terms are a contract between you and SheenCloud (and not our Providers), By accessing our Services, you agree to these Terms.

Please read our Privacy Policy, which describes how we collect and use personal information.

1. Acceptance of Terms.

By using the Site and any of our Services, you:

Acknowledge that you have read and understood these Terms
Agree to be bound by these Terms
Agree to our Privacy Policy
Commit to comply with all applicable laws and regulations

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website. It is your responsibility to review these Terms regularly. Your continued use of the services after any changes constitutes your acceptance of the new Terms.

2. Account creation and access.

Minimum age. You must be at least 18 years old or the minimum age required to consent to use the Services in your location, whichever is higher.

Your Account. To access our Services, we may ask you to create an Account. You agree to provide correct, current, and complete Account information and allow us to use it to communicate with you about our Services. Our communications to you using your Account information will satisfy any requirements for legal notices.

You may not share your Account login information, API key, or Account credentials with anyone else. You also may not make your Account available to anyone else. You are responsible for all activity occurring under your Account, and you agree to notify us immediately if you become aware of any unauthorized access to your Account by sending an email to Support Team.

You may close your Account at any time by contacting us at Support Team

Evaluation and Additional Services. In some cases, we may permit you to evaluate our Services for a limited time or with limited functionality. Use of our Services for evaluation purposes are for your personal, non-commercial use only.

3. Use of Services.

You may access and use our Services only in compliance with our Terms, and any guidelines or supplemental terms we may post on the Services (the “Permitted Use”). You are responsible for all activity under the account through which you access the Services.

You may not access or use, or help another person to access or use, our Services in the following ways:

In any manner that violates any applicable law or regulation—including, without limitation, any laws about exporting data or software to and from the People's Republic of China or other countries.
To develop any products or services that compete with our Services, including to develop or train any artificial intelligence or machine learning algorithms or models or resell the Services.
To decompile, reverse engineer, disassemble, or otherwise reduce our Services to human-readable form, except when these restrictions are prohibited by applicable law.
To crawl, scrape, or otherwise harvest data or information from our Services other than as permitted under these Terms.
To use our Services, the Materials, or the Actions to obtain unauthorized access to any system or information, or to deceive any person.
To infringe, misappropriate, or violate intellectual property or other legal rights (including the rights of publicity or privacy).
Except when you are accessing our Services via an API Key or where we otherwise explicitly permit it, to access the Services through automated or non-human means, whether through a bot, script, or otherwise.
To engage in any other conduct that restricts or inhibits any person from using or enjoying our Services, or that we reasonably believe exposes us—or any of our users, affiliates, or any other third party—to any liability, damages, or detriment of any type, including reputational harms.

You also must not abuse, harm, interfere with, or disrupt our Services, including, for example, introducing viruses or malware, spamming or DDoSing Services, or bypassing any of our systems or protective measures.

4. Inputs, Outputs, Actions, and Materials.

Generally. You may be allowed to interact with our Services in a variety of formats (we call these “Inputs”). Our Services may generate responses (we call these “Outputs”), or enable the Services to take actions on your behalf, such as software manipulation, data processing, and system interactions (we call these "Actions"), based on your Inputs. Inputs and Outputs collectively are “Materials.”

Rights and Responsibilities. You are responsible for all Inputs you submit to our Services and all Actions. By submitting Inputs to our Services, you represent and warrant that you have all rights, licenses, and permissions that are necessary for us to process the Inputs under our Terms and to provide the Services to you, including for example, to integrate with third-party services, to share Materials with others at your direction, and to take Actions. You also represent and warrant that your submitting Inputs to us or directing EasyCoda to take Actions will not violate our Terms, or any laws or regulations applicable to those Inputs or Actions. As between you and SheenCloud, and to the extent permitted by applicable law, you retain any right, title, and interest that you have in the Inputs you submit. Subject to your compliance with our Terms, we assign to you all of our right, title, and interest—if any—in Outputs.

Reliance on Outputs and Actions. Artificial intelligence and large language models are frontier technologies that are still improving in accuracy, reliability and safety. When you use our Services, you acknowledge and agree:

Outputs may not always be accurate and may contain material inaccuracies even if they appear accurate because of their level of detail or specificity.
Actions may not be error free or operate as you intended.
You should not rely on any Outputs or Actions without independently confirming their accuracy.
The Services and any Outputs may not reflect correct, current, or complete information.
Outputs may contain content that is inconsistent with SheenCloud’s views.

5. Data usage, training, and learning.

We collect and process data from your use of the Services to improve our platform, provide support, and enhance user experience. While our Privacy policy contains detailed information about data collection and processing, this section outlines how we use your data within our Services.

Service improvement and training. Your use of our platform contributes to its continuous improvement. We analyze generated code, prompts, and usage patterns to enhance our AI systems and improve code generation accuracy. This analysis helps us understand how developers interact with our platform, enabling us to optimize performance and reliability while identifying areas for enhancement.

We specifically use this data to:

Train and refine our AI systems, improving their ability to understand developer requirements and generate appropriate code
Enhance the quality and accuracy of code generation through pattern analysis and learning
Optimize platform performance based on real-world usage patterns
Identify and resolve technical issues through systematic analysis
Develop new features and capabilities based on user needs and behavior

Support and operational uses.We utilize collected data to provide comprehensive support and maintain optimal platform operations. This includes monitoring system performance, analyzing error patterns, and generating internal reports that help us maintain and improve service quality. Our support team uses this information to:

Monitor and maintain platform stability and performance

Enterprise plan considerations. Enterprise customers receive enhanced data protection and control. For these users:

No sharing with third parties occurs without explicit consent

6. Intellectual Property.

Our rights. SheenCloud owns and retains all rights, title, and interest in and to:

Brand elements:

The "EasyCoda" name and brand
The "Easycoda.com" domain name and all related domains and variants
All EasyCoda logos, designs, and visual elements
All marketing materials and website content

Platform elements:

The Site architecture and design
All platform features and functionalities
Our proprietary algorithms and systems
The user interface and experience design
All documentation and supporting materials

Website content:

All text, graphics, and media on easycoda.com
Blog posts, documentation, and guides
Marketing materials and promotional content
Interface elements and design components

These elements are protected by copyright, trademark, trade dress, patent laws, and other intellectual property rights.

Clear distinction of rights. To be explicitly clear, while SheenCloud owns all rights to the platform and brand elements described above, this ownership is entirely separate from and does not extend to:

User-generated content
Code generated using our platform
Applications built with our tools
Custom configurations and implementations
Modified or derivative works created from generated code
Your own code commits and changes made outside of EasyCoda but committed or visible in any way

User rights. SheenCloud makes no claim to ownership of:

All code generated using our Services
Applications and solutions built using our platform
Custom implementations and modifications
Derivative works based on generated code
Your business logic and application structure

Usage rights You may freely:

Use generated code commercially
Modify and adapt generated code
Distribute generated code in any form
Sell applications built using our platform
Open source your implementations

To be explicitly clear:

SheenCloud places no restrictions on your use of generated code
You are free to use, modify, and distribute generated code without attribution requirements
No licenses or royalties are owed by EasyCoda users to SheenCloud for using generated code
Your implementations and modifications are yours to control
You can combine generated code with other sources without needing approval from SheenCloud

7. Subscriptions, fees and payment.

Fees and billing. You may be required to pay us fees to access or use our Services or certain features of our Services. You are responsible for paying any applicable fees listed for the Services on the Pricing Page unless otherwise communicated to you by SheenCloud in writing.

If you purchase access to our Services or features of our Services, you must provide complete and accurate billing information (“Payment Method”). You agree that we may charge the Payment Method for any applicable fees listed on our Services and any applicable tax. If the fees for these Services or features are specified to be recurring or based on usage, you agree that we may charge these fees and applicable taxes to the Payment Method on a periodic basis.

Refund Policy. Except as expressly provided in these Terms or where required by law, all payments are non-refundable. Please check your order carefully before confirming it, and see below for additional information about recurring charges for our subscriptions.

Additional fees. We may increase fees for our Services. If we charge additional fees in connection with our Services, we will give you an opportunity to review and accept the additional fees before you are charged. Also, additional fees may apply for additional Services or features of the Services that we may make available. If you do not accept any such additional fees, we may discontinue your access to the Services or features.

You agree that we will not be held liable for any errors caused by third-party payment processors used to process fees paid by you to us.

Subscriptions. To access EasyCoda Pro and other subscription services we may make available to individuals, you must sign up for a subscription with us (a “Subscription”), first by creating an Account, and then following the subscription procedure on our Services. When you sign up for a Subscription, you agree to these Terms.

Subscription content, features, and services. The content, features, and other services provided as part of your Subscription, and the duration of your Subscription, will be described in the order process. We may change the content, features, and other services from time to time, and we do not guarantee that any particular piece of content, feature, or other service will always be available through the Services.
Subscription term and automatic renewal. If you sign up for a paid Subscription, we will automatically charge your Payment Method on each agreed-upon periodic renewal date until you cancel. EasyCoda offers both monthly and annual subscription plans. Monthly plans are billed in advance on a monthly basis, while annual plans are billed in advance on an annual basis at the start of each twelve (12) month term. You may switch between monthly and annual plans at the end of your current billing cycle by adjusting your preferences through your account settings. Both monthly and annual subscriptions renew automatically unless cancelled.
Subscription payment. All payments for the Services must be made via a third-party payment processor("Payment Processor"). By submitting payment information, you authorize us (and our designated payment processors) to charge the applicable fees to your payment method on a recurring basis. By using a third-party payment service, you also agree to be bound by that provider’s terms and conditions.
Subscription cancellation. If you subscribed via our website, you may cancel your Subscription for any reason by using a method we may provide to you through our products—for example, for EasyCoda Pro, in your customer portal—or by notifying us at Support Team. To avoid renewal and charges for the next Renewal Term, cancel your subscription at least 24 hours before the last day of any Renewal Term. For example, if you subscribe on January 25th for a Subscription with a one-month Initial Term, you must cancel the Subscription per the instructions by February 23rd (24 hours before February 24th) to avoid renewal and charges for the next Renewal Term. In the event of a cancellation, your fees will not be refunded, but your access to the Services will continue through the end of the Renewal Term for which you previously paid fees.

8. Termination.

You may stop accessing the Services at any time. We may suspend or terminate your access to the Services (including any Subscriptions) at any time without notice to you if we believe that you have breached these Terms, or if we must do so in order to comply with law. If we terminate your access to the Services due to a violation of these Terms and you have a Subscription, you will not be entitled to any refund. In addition, if you have a Subscription, we may terminate the Subscription at any time for any other reason. If we exercise this right and you purchased the subscription via our website, we will refund you, on a pro rata basis, the fees you paid for the remaining portion of your Subscription after termination.

We may also terminate your Account if you have been inactive for over a year and you do not have a paid Account. If we terminate your Account due to inactivity, we will provide you with notice before doing so.

Upon termination of these Terms, a Subscription, or your access to the Services, we may at our option delete any Materials or other data associated with your Account.

9. Disclaimer of warranties, limitations of liability, and indemnity.

YOUR USE OF THE SITE, SERVICES AND ALL EASYCODA CONTENT IS ENTIRELY AT YOUR OWN RISK. THE PLATFORM, SERVICES, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY GUARANTEES. TO THE FULLEST EXTENT PERMITTED BY LAW, EASYCODA AND OUR SUPPLIERS AND LICENSORS EXPLICITLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE MAKE NO GUARANTEES REGARDING THE ACCURACY, RELIABILITY, OR USEFULNESS OF THE PLATFORM, SERVICES, OR ANY EASYCODA CONTENT, AND YOUR USE OF THESE IS ENTIRELY AT YOUR OWN RISK. ANY MATERIALS OR CODE YOU DOWNLOAD OR ACCESS THROUGH OUR PLATFORM OR SERVICES IS OBTAINED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY SYSTEM DAMAGE OR DATA LOSS THAT MAY RESULT. NO ORAL OR WRITTEN INFORMATION OR ADVICE PROVIDED BY US OR THROUGH OUR PLATFORM OR SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT. CERTAIN JURISDICTIONS MAY PROHIBIT SUCH WARRANTY DISCLAIMERS, SO SOME OR ALL OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

EASYCODA, ALONG WITH ITS AFFILIATES, AGENTS, OFFICERS, EMPLOYEES, SUPPLIERS AND LICENSORS, SHALL NOT BE LIABLE FOR ANY DAMAGES, WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES (EVEN IF ADVISED OF SUCH POSSIBILITY), ARISING FROM YOUR USE OF OR INABILITY TO USE OUR PLATFORM, SERVICES, OR EASYCODA CONTENT. UNDER NO CIRCUMSTANCES WILL EASYCODA BE HELD RESPONSIBLE FOR ANY DAMAGES OR LOSSES RESULTING FROM UNAUTHORIZED ACCESS, SECURITY BREACHES, OR INTERFERENCE WITH OUR PLATFORM, SERVICES, OR YOUR ACCOUNT.

TO THE MAXIMUM EXTENT ALLOWED BY LAW, EASYCODA ACCEPTS NO LIABILITY OR RESPONSIBILITY FOR:

Content errors, inaccuracies, or omissions in any form
Personal injury or property damage resulting from your use of our platform or services
Unauthorized access to our servers or your personal information
Service interruptions, transmission failures, or platform unavailability
Malicious software or code that may be transmitted through our platform
Any errors, losses, or damages arising from the use of our content or services

AI-generated code that:

Contains bugs, errors, or security vulnerabilities
Fails to meet your specific requirements or expectations
Does not achieve your intended business or technical goals
Becomes obsolete or incompatible with other systems
Causes issues when integrated with other software
Results in any form of data loss or corruption

AI system limitations or failures, including:

Incorrect or incomplete code generation
Misunderstanding of your requirements or prompts
Generation of non-optimal or inefficient solutions
Inconsistencies in code output quality
Failures to follow best practices or coding standards

Platform-related issues such as:

Temporary or permanent service unavailability
Slow response times or performance degradation
Loss of saved projects or conversation history
Interface bugs or usability issues
API failures or inconsistencies
Authentication or authorization problems

Business impact resulting from:

Reliance on generated code in production systems
Time or resources spent modifying generated code
Project delays or missed deadlines
Additional development costs or technical debt
Integration challenges with existing systems
Customer or user dissatisfaction

Third-party related issues:

Compatibility problems with external services
Licensing issues in generated code
Security vulnerabilities in recommended dependencies
Changes in external APIs or services
Conflicts with other development tools

Data-related concerns:

Loss of prompt history or generated code
Unintended data exposure in generated code
Training data biases affecting code generation
Incorrect handling of sensitive information
Data privacy or compliance issues

THIS LIST IS NOT EXHAUSTIVE, AND EASYCODA'S LIMITATION OF LIABILITY EXTENDS TO ALL POSSIBLE ISSUES, WHETHER LISTED HERE OR NOT, ARISING FROM THE USE OF OUR AI-POWERED PLATFORM AND SERVICES. IN NO EVENT SHALL OUR TOTAL LIABILITY AND THAT OF OUR SUPPLIERS AND LICENSORS, ARISING FROM OR RELATING TO YOUR USE OF THE PLATFORM, SERVICES, AND EASYCODA CONTENT (INCLUDING WARRANTY CLAIMS), REGARDLESS OF THE TYPE OF CLAIM OR LEGAL THEORY, EXCEED THE AMOUNT YOU HAVE PAID TO US FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM. IF YOU RESIDE IN CALIFORNIA, YOU WAIVE CALIFORNIA CIVIL CODE §1542, WHICH STATES: A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE. SOME JURISDICTIONS DO NOT PERMIT LIABILITY LIMITATIONS FOR CERTAIN DAMAGES, SO THESE LIMITATIONS MAY NOT FULLY APPLY TO YOU.

Indemnification. You agree to defend, indemnify, and hold harmless EasyCoda, including our officers, directors, employees, agents, licensors, affiliates, and representatives, from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising from:

Your use of our platform and services
Breach of these Terms
Infringement of third-party rights
Applications, websites, or services you create using our platform
Any content you submit or share through our services

10. Legal notices, governing law and dispute resolution.

Our platform and services operate from our offices in Beijing, People's Republic of China. We make no claims about the appropriateness or availability of the services for use in other locations. Users accessing our platform from other jurisdictions do so voluntarily and must comply with all applicable local and China's laws, including export and import regulations.

In the event of a dispute arising from the signing, performance, or interpretation of these Terms, the Parties can make efforts to resolve it amicably through negotiation. Also either Party has the right to file a lawsuit with a court having jurisdiction over the location of the registered office of Beijing Yueyun Technology Co., Ltd.
